Welcome to Mazad-e. These Terms of Use (“Terms”) govern your access to and use of www.mazad-e.com (the “Platform”), operated by Mazad-e (“we,” “us,” or “our”). By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.

1. Acceptance of Terms

By registering, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Notice, which is incorporated herein by reference. If you are using the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Eligibility

To use the Platform, you must:

  • Be at least 18 years old or the age of majority in your jurisdiction.
  • Have the legal capacity to enter into a binding contract.
  • Provide accurate and complete registration information.

3. Account Registration

a. Account Creation:
You must create an account to participate in auctions on the Platform. You agree to provide true, accurate, current, and complete information during the registration process.

b. Account Security:
You are responsible for maintaining the confidentiality of your account credentials and are fully responsible for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

c. Account Suspension or Termination:
We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, or misuse of the Platform.

4. Platform Usage

a. Buyer-Initiated Auctions:
On Mazad-e, auctions are initiated by buyers. Buyers specify the product or service they require, along with their desired budget. Sellers then submit their bids, committing to the price they are willing to offer the product or service for.

b. Bidding and Commitment:
Sellers are bound to the price they bid. If a seller places the winning bid, they are legally obligated to provide the product or service at the price specified in their bid. Failure to honor this commitment may result in account suspension, termination, or legal action.

c. Winning Bid and Transaction:
The buyer selects the winning bid, which is the offer that best meets their needs and budget. Once the winning bid is selected, the transaction must be completed in accordance with the agreed terms, including payment and delivery.

d. Payments:
Payments for successful bids must be made in accordance with the payment terms specified on the Platform. Buyers are responsible for any applicable taxes, fees, or charges associated with the transaction.

5. Fees and Commissions

We may charge fees for certain services provided on the Platform, including but not limited to listing fees, final value fees, or commission fees. You agree to pay all applicable fees as specified on the Platform. Fees are non-refundable unless otherwise stated.

6. Prohibited Activities

You agree not to engage in any of the following activities on the Platform:

  • Posting false, misleading, or deceptive content.
  • Engaging in fraudulent or illegal activities.
  • Circumventing or attempting to circumvent the bidding process.
  • Using bots or automated systems to place bids.
  • Infringing on the intellectual property rights of others.
  • Harassing, threatening, or abusing other users.

We reserve the right to investigate and take appropriate action, including legal action, against anyone who violates this section.

7. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, images, software, and trademarks, is the property of Mazad-e or its licensors and is protected by copyright, trademark, and other intellectual property laws. You agree not to reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any content from the Platform without our prior written consent.

8. Disclaimer of Warranties

The Platform and all services provided therein are offered on an "as-is" and "as-available" basis. We make no warranties, express or implied, regarding the Platform, including but not limited to the accuracy, reliability, or availability of the Platform, or the content thereon. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the fullest extent permitted by law, Mazad-e, its affiliates, and their respective officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your use of or inability to use the Platform;
  • Unauthorized access to or alteration of your transmissions or data;
  • Any conduct or content of any third party on the Platform.

In no event shall our total liability to you for all claims arising out of or relating to these Terms or your use of the Platform exceed the amount paid by you to us, if any, during the 12 months preceding the event giving rise to liability.

10. Indemnification

You agree to indemnify, defend, and hold harmless Mazad-e, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with:

  • Your access to or use of the Platform;
  • Your violation of these Terms;
  • Your violation of any third-party right, including without limitation any intellectual property, or privacy right;
  • Any disputes or issues between you and another user.

11. Termination

We may terminate or suspend your access to the Platform, with or without notice, for any reason, including but not limited to breach of these Terms, fraudulent activity, or misuse of the Platform. Upon termination, your right to use the Platform will immediately cease.

12. Governing Law and Dispute Resolution

These Terms and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of Jordan, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Jordan, and you consent to the personal jurisdiction and venue in such courts.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Platform. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.

14. Miscellaneous

a. Entire Agreement:
These Terms, together with our Privacy Notice and any other legal notices published on the Platform, constitute the entire agreement between you and Mazad-e regarding your use of the Platform.

b. Severability:
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

c. Waiver:
No waiver of any term or condition of these Terms will be deemed a further or continuing waiver of such term or condition or any other term or condition.

d. Assignment:
You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may freely assign or transfer these Terms without restriction.

e. Headings:
Headings in these Terms are for convenience only and have no legal or contractual effect.
